INTRODUCTION

Datasul’s Code of Conduct defines the Company’s underlying ethical principles and, as such, guides acceptable and recommended behavior and procedures on the part of all Datasul Network professionals (Company, FDES and FDIS).

In order to ensure compliance with these principles, Datasul has set up a Conduct Committee to clarify doubts; receive, examine and pass on complaints to the area in question; and follow up the solutions adopted.

Any member of Datasul Network may bring their questions or complaints to the attention of the Conduct Committee. This may be done:

PRESENTATION

Datasul’s mission is “to enhance the competitiveness of its clients” and our Code of Conduct exemplifies this mission.

PRINCIPLES

First principle: RESPECT FOR THE LAW* AND THE BEST CORPORATE GOVERNANCE PRACTICES**.

The lawfulness of any action, decision or transaction involving Datasul’s name is our overriding concern, given that strict compliance with the law is the inalienable responsibility of all Datasul Network staff (franchisees, professionals and management). Any violations of this principle, both in and outside the workplace, may seriously jeopardize their relationship with the Company.

Second principle: VALUING HUMAN CAPITAL

Human beings are the prime factor in the success of any service company, especially due to the knowledge they hold. We also believe that all individuals are chiefly responsible for their professional development as well as their own safety and that of their colleagues in the workplace. The Company therefore does everything possible to ensure that such personal responsibility is exercised.

Third principle: CONTINUOUS IMPROVEMENT THROUGH INNOVATION

As social, cultural and economic conditions change, both in Brazil and worldwide, giving rise to new needs, organizations must ceaselessly strive not only to adapt, but also to anticipate these changes, creating new processes, services, products and relationships designed to improve results. Innovation should also underpin working relations, encouraging initiatives at all levels, especially those that strengthen mutual trust and solidarity, indispensable values for a happier society.

Fourth principle: COMMITMENT TO CLIENTS

Datasul’s driving force is to create value for its clients. It therefore continuously seeks to provide better software and related services; invests in the professional development of all its staff, given that they play a crucial role in the process of ceaseless improvement through innovation, one of the basic principles of this Code of Conduct; and employs technologies that generate products and services geared towards the creation of new enterprise management concepts.

Fifth principle: COMMITMENT TO DATASUL

The Company’s social function is to generate and distribute wealth and all its staff should be deeply motivated by this commitment.

Sixth principle: MAINTENANCE OF CONSTRUCTIVE RELATIONSHIPS

All the Company’s external relationships should be guided by well-defined objectives, based on irreproachable moral conduct and the interests of the Company as a whole. This includes relationships with shareholders, communities, authorities, competitors and the media.
